Introduction
This Licence Agreement (“Agreement”) is a legal contract between you (“Licensee”) and PROMPTIX LTD (“3daxiom”, “we”, or “us”), registered in England and Wales under Company Number 17078610, governing the terms under which you may use 3D models purchased or licenced through the 3daxiom website (https://3daxiom.com).
By purchasing, downloading, or using any 3D models (“Content”) from 3daxiom, you agree to comply with the terms and conditions set forth in this Agreement. If you do not agree to these terms, you are prohibited from using the Content and must immediately cease any use.
Licence Grant
Subject to your compliance with this Agreement, PROMPTIX LTD hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, worldwide licence to use the 3D models in accordance with the terms specified below. This licence is for the duration stated at the time of purchase, or if no duration is specified, it is perpetual.
Permitted Uses
You may use the licenced Content in the following ways:
- Personal Use: You may use the Content for personal, non-commercial projects, such as digital art, social media posts, or personal websites.
- Commercial Use: You may use the Content for commercial projects, including but not limited to websites, digital advertising, printed materials, product packaging, and other marketing collateral, provided that the Content is used as part of a broader creative project and not as a standalone product.
- Alterations: You may alter or modify the Content to fit your needs, provided the resulting work still complies with the terms of this Agreement.
Prohibited Uses
The following uses of the Content are strictly prohibited:
- Resale or Redistribution: You may not resell, redistribute, or otherwise make the Content available for download as is, whether in its original form or as part of a larger collection, on any platform or service.
- Use in Trademarks or Logos: You may not use the Content as part of any trademark, service mark, logo, or any other branding that could suggest ownership of the Content.
- Sublicensing: You may not sublicence the Content to any third party or use it to create derivative products that are intended for resale where the Content forms a significant part of the value.
- Offensive or Unlawful Use: You may not use the Content in any way that violates applicable law or promotes defamatory, obscene, offensive, or inappropriate material.
Ownership and Intellectual Property
All rights, including copyright, in and to the 3D models are owned by PROMPTIX LTD. This licence grants you limited rights to use the Content, but it does not transfer ownership of any intellectual property rights. You acknowledge and agree that PROMPTIX LTD retains full ownership of the Content and that you will not claim any proprietary rights to the Content, modified or otherwise.
Termination of Licence
PROMPTIX LTD reserves the right to terminate this licence at any time if you breach any terms of this Agreement. Upon termination, you must immediately cease using the Content and delete any copies of the Content in your possession, whether in physical or digital form.
Refunds and Licence Cancellations
PROMPTIX LTD may, at its sole discretion, issue refunds or cancel licences under certain circumstances, such as errors in the licencing process. However, once you download the Content, the licence is considered non-refundable, except where required by law.
Disclaimer of Warranties
The Content is provided “as is” without any warranties or guarantees, express or implied. PROMPTIX LTD does not warrant that the Content will meet your requirements or that its use will be uninterrupted or error-free. We disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
In no event shall PROMPTIX LTD or its officers, directors, employees, or agents be liable for any indirect, incidental, consequential, or punitive damages arising from the use or inability to use the Content. In any event, PROMPTIX LTD’s total liability shall be limited to the amount you paid for the Content.
Indemnification
You agree to indemnify, defend, and hold harmless PROMPTIX LTD and its affiliates, officers, agents, and employees from any claims, damages, losses, liabilities, and costs (including reasonable attorneys’ fees) arising from your use of the Content in violation of this Agreement or applicable law.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or related to this Agreement shall be submitted to the exclusive jurisdiction of the courts located in London, England.
